Restoration of Limited or Limited Liability Partnership Companies

The Registrar of companies at Companies House may remove company from the Register for the following reasons or circumstances (Under Section 1000 of the Companies Act 2006 and 652 of the Companies Act 1985).

  • Failure to submit Annual return
  • Failure to submit Annual Accounts (financial statements)
  • Not appointing active Director in the company
  • Form DS01 - Striking Off Application in case of ceasing company

In any case, Companies House notify by dispatching letters to company’s registered and Director’s address. If fail to respond as per notification, an advertisement would have been placed in the Gazette to notify that the Company would be struck off in three months (http://www.gazettes-online.co.uk/) and All of the Company’s assets become “bona vacantia” (means goes to the Crown).
