The Tax Efficient Way to Take Money Out of a Limited Company

The accounts look strong and the bank balance keeps growing, yet that money isn’t really yours until you decide how to move it. This is where many directors hesitate. Every route is taxed differently, and a wrong step can be awkward to undo.

So what is the tax efficient way to take money out of a limited company? There is no single route that wins for every owner. Directors usually choose from three channels: pay through payroll, dividends to shareholders, and employer contributions into a pension. How much goes through each depends on your company’s profit, your income from other sources, who holds the shares, what you need to spend and the tax year you are in. This guide explains each channel using the figures for 2026/27. You can then approach an adviser, including the team at Brayan & Spencer Associates, with better questions.

Why Is Your Profit Stuck Inside Your Limited Company?

The cash in the company account belongs to the company, not to you. Even a sole shareholder has to move it across through a recognised route. Anything else is treated as a director’s loan, covered below.

Retained profits are what remains after corporation tax and any dividends already declared, carried forward in the accounts. Profit extraction means getting value from the company to you personally, lawfully and with proper records.

The balance can also look bigger than it is. Corporation tax is 19% on profits up to £50,000 and 25% above £250,000, with marginal relief in between. VAT, PAYE and supplier bills may be due, and the business needs working capital. GOV.UK also states that a company must not pay out more in dividends than its available profits from the current and previous financial years. What you can distribute is set by profit, not by the bank balance.

What Is the Most Tax Efficient Way to Take Money Out of a Limited Company?

It depends, and anyone offering a universal formula is oversimplifying. A director with no other income is in a very different position from one who already earns a high salary elsewhere. The main variables are:

the company’s profit and the corporation tax rate it pays

your other income, which sets your income tax band

the shareholdings, because dividends must usually be paid to all shareholders

how much cash you need, and when

your pension plans

the tax year, since rates move (dividend tax rates rose from 6 April 2026)

Salary, Dividends or Pension Contributions: Which Option Should You Consider?

Taking a Salary From Your Limited Company

To pay a salary, the company must register as an employer, deduct Income Tax and National Insurance, and pay these to HMRC along with employer’s National Insurance. Unlike dividends, pay is normally a company expense.

HMRC’s 2026/27 figures: the personal allowance is £12,570. Employee National Insurance is 8% on earnings between £12,570 and £50,270. Employer National Insurance is 15% on pay above £5,000.

The Employment Allowance can cut an employer’s National Insurance bill by up to £10,500. It is not available if the company has one director who is the only employee liable for secondary Class 1 National Insurance.

Taking Dividends From Company Profits

A dividend is a payment a company can make to shareholders if it has made a profit. You cannot count dividends as business costs for corporation tax. To pay one, hold a directors’ meeting to declare it and keep minutes, even if you are the only director. Then prepare a voucher showing the date, company name, shareholders and amount. Give recipients a copy and keep one for the company.

The company pays no tax on a dividend, but you might. Dividends within your personal allowance are not taxed, and there is a £500 dividend allowance. Above that, the rates are 10.75% (basic), 35.75% (higher) and 39.35% (additional). To find your band, add your dividends to your other income.

Making Employer Pension Contributions

Your company can pay into a registered pension for you. HMRC’s guidance says an employer contribution is deductible for corporation tax if it is paid wholly and exclusively for the purposes of the trade. For a controlling director, HMRC looks at the overall remuneration package, not the pension payment alone.

The annual allowance on GOV.UK is £60,000 for the current tax year, across all your private pensions. It can be lower in some situations, such as after flexibly accessing a pension. Unused allowance from the previous three tax years may be carried forward. Pension savings are generally locked until the minimum pension age, so this route does not replace the cash you need now. Take pension advice from a suitably regulated adviser.

Other Considerations for Company Directors

Genuine business expenses can be reimbursed. If you make personal use of something the business owns, GOV.UK says it must be reported as a benefit and any tax paid.

A director’s loan is money you take that is not salary, a dividend, an expense repayment or money you previously put in. It is not automatically tax free. HMRC explains that a close company making a loan to a participator is due section 455 tax. The rate is 33.75% for loans made from 6 April 2022 and 35.75% for loans made from 6 April 2026. The charge falls due if the loan is not repaid within nine months and one day after the company’s year end, and it can be reclaimed once the loan is repaid.

What If Your Limited Company Has £100,000 or £200,000 in Retained Profits?

The headline balance is only the starting point. Corporation tax owed, VAT and PAYE due, other commitments and working capital all come first. Only what remains within your distributable profits can be paid as dividends.

Hypothetical example, for illustration only. A company has £200,000 in the bank. Assume £35,000 is owed in corporation tax, £15,000 in VAT and PAYE, and the director wants £40,000 left as working capital. That leaves about £110,000 as a cash ceiling, before checking distributable profits in the accounts.

Now assume the director takes a £12,570 salary, has no other income, lives in England, Wales or Northern Ireland, and draws a £50,000 dividend in 2026/27. The basic rate band is £37,700. Of the dividend, £37,200 is taxed at 10.75% after the £500 allowance, which is £3,999. The other £12,300 is taxed at 35.75%, which is £4,397.25. Personal dividend tax comes to about £8,396.

This is not a comparison of methods or a promise of any saving. Other income, shareholdings, pension payments and timing across tax years would all change the result. A real calculation needs the company’s accounts and your personal figures.

Common Mistakes to Avoid When Withdrawing Company Profits

Treating the bank balance as personal money. It belongs to the company until properly distributed.

Paying dividends beyond available profits. GOV.UK sets this limit.

Overlooking personal dividend tax. The bill arrives through your own tax affairs, not the company’s.

Skipping the paperwork. Minutes and vouchers are required for each dividend.

Letting the director’s loan account drift. An unrepaid balance can trigger section 455 tax.

Draining working capital. Next quarter’s bills still have to be paid.

Copying another director’s approach. Their income, shares and company may differ from yours.

Why Professional Tax Planning Matters

Extracting profits touches company tax, personal tax, pensions and company law at once. Our accounting services in London sit alongside tax planning, so your accounts and your withdrawal strategy are looked at together. A structured review can set out the routes open to you, the tax each one triggers, and the records and decisions required.
