Why smart UK firms still get audited

Picture this. Your accountant tells you the good news: you no longer need a statutory audit. No more auditors going through your books, no more fees for something the law used to force on you. Sounds like a win.

But here’s the twist. Plenty of business owners in this position are still choosing to get audited, even though nothing’s making them. That’s not down to habit or box-ticking, it’s a genuinely sound decision once you see the reasoning behind it, and it might make you think twice about skipping yours too.

So what’s actually changed, do you still need an audit, and why are so many businesses paying for one they don’t legally have to have? Here’s the honest answer.

What’s changed with UK audit rules

Back in 2024, the government decided to raise the size limits that decide whether a company needs a statutory audit. These new, higher limits kicked in for financial years starting on or after 6 April 2025, so for most businesses with a March or December year end, this is the first time it’s affected them.

Here’s the simple version. Your company is generally treated as “small,” and therefore doesn’t need a statutory audit, if it ticks at least two of these three boxes:

Turnover of £15 million or less

Assets on the balance sheet worth £7.5 million or less

50 employees or fewer, on average

That’s a decent jump up from the old limits, which sat around £10.2 million turnover and £5.1 million in assets. In plain terms, more businesses now fall into the “small and exempt” bracket than did before.

One thing worth knowing: you usually need to meet these small company criteria for two years running before the exemption properly kicks in, not just one good year. And if you go over the limits for a single year, that alone doesn’t automatically drag you back into needing an audit. There’s also a helpful transitional rule that lets some businesses use the new, higher limits a year earlier than normal. If your numbers are anywhere close to these thresholds, it’s genuinely worth getting someone to check your exact position rather than guessing.

Do you actually still need an audit?

Size isn’t the only thing that decides this. Some businesses need a statutory audit no matter how small they are, including:

Public companies (PLCs)

Businesses working in regulated financial services

Charities above a certain income level

Subsidiary companies within a group, unless the parent company has given a specific guarantee

Any company where shareholders owning at least 10% of the shares formally ask for an audit

That last one trips people up. Even a fully exempt small company can be pulled back into needing an audit if enough shareholders request it. So “exempt” doesn’t always mean “off the hook for good.”

If you’re not sure where your business stands, that’s exactly the kind of question we answer every day. Get in touch with our audit and assurance team for a straight answer.

What a financial audit involves

A financial audit isn’t someone flicking through your spreadsheets and nodding. It’s an independent check of your annual accounts, carried out to confirm they give an honest, accurate picture of how your business is really doing financially.

In practice, an auditor will:

Check your transactions and account balances against real evidence, like invoices and bank statements

Look at how you’ve recorded your income, assets, and what you owe

Make sure you’re following the correct UK accounting rules

Check whether your internal financial systems are strong enough to catch mistakes before they become serious

Give you a formal, written opinion that banks, investors, and shareholders can trust

If you’re also sorting out your statutory and management accounts, a properly done audit tends to flag issues and inefficiencies early, long before they turn into expensive headaches.

Internal audits: why they’re worth doing even without a legal push

People often mix up an internal audit with a statutory one, but they’re doing very different jobs. A financial audit checks your accounts. An internal audit checks how well your day-to-day processes and controls are actually working.

A solid internal audit will typically look at:

Whether one person has too much control over money coming in and going out, which is common in small finance teams

The risk of fraud or honest mistakes in areas like purchasing, payroll, and handling cash

Whether what’s written in your policies matches what happens on the ground

Places where things are running inefficiently and quietly costing you money

For businesses with a small finance team, an outside pair of eyes can spot weak spots that nobody inside the business is really in a position to see. It’s less about ticking a compliance box and more about protecting your business from its own blind spots.

Why so many UK businesses choose to get audited anyway

This is the bit that actually matters, and it’s often glossed over. Here’s what’s genuinely pushing business owners to opt in, even when nothing’s forcing them to:

Winning bigger contracts. More larger clients, government contracts, and supply chains ask to see audited accounts before they work with you. Having one ready can be the difference between winning the deal and losing it.

Better deals from banks. Lenders and credit insurers tend to see audited figures as lower risk, which can mean better interest rates and higher credit limits for your business.

Getting ready to sell or hand the business on. If you are thinking about selling up, bringing in investors, or passing the business to family in the next few years, buyers will examine your finances closely. Having a track record of audited accounts makes that process far smoother and can protect what your business is actually worth.

Keeping shareholders happy. For businesses with more than one shareholder, especially where relationships are a bit strained, an independent audit removes doubt and can stop disagreements before they start.

Staying prepared. Growing businesses sitting close to the size limits often keep auditing voluntarily, so there’s no last-minute scramble if they cross back over the threshold later.

None of this means every exempt business needs an audit. It just means the decision deserves more thought than a quick “do I legally have to, yes or no.”

How to pick the right audit company in the UK

Not every firm that mentions “audit services” is actually allowed to sign off a statutory audit. In the UK, only auditors registered with a recognised body, like the ACCA or ICAEW, can legally carry out this work. Before you choose one, it’s worth asking:

Are they properly registered as auditors with a recognised UK body?

Do they actually understand your type of business, whether that’s property, healthcare, charities, or something else?

Will you get a real, named person who knows your business, rather than a different face every time?

Do they explain things in plain English, not just accounting jargon?

Can they help beyond the audit itself, with tax, company secretarial work, or valuing your business?

Brayan & Spencer Associates is registered as auditors in the United Kingdom by the Association of Chartered Certified Accountants.
